1. Definitions
"Company," "we," "our," or "us" refers to Blue Harbour.
"Client," "you," or "your" refers to the business or individual engaging our services.
"Services" means the consultancy, reports, tools, and related materials provided by Blue Harbour.
2. Services provided
Blue Harbour provides consulting and advisory services including, but not limited to, AI strategy, capability building, training programs, and delivery support. Each engagement is tailored to client needs and delivered according to an agreed scope of work.
3. Use of services
Clients agree to provide accurate, complete information necessary for the delivery of our services. You must not misuse our services or use them for unlawful activities.
4. Fees and payment
All fees will be outlined in a formal proposal or contract. Payment terms are typically 30 days from the invoice date unless otherwise agreed. Late payments may incur interest charges.
5. Intellectual property
All materials, frameworks, and deliverables created by Blue Harbour during an engagement remain our intellectual property unless otherwise agreed in writing.
You are granted a non-exclusive, non-transferable licence to use these materials internally for your organisation’s purposes. Reproduction or distribution beyond this requires prior written consent.
6. Confidentiality
Both parties agree to maintain the confidentiality of all sensitive information shared during the course of the engagement. This obligation continues even after the termination of the services.
7. Liability
Blue Harbour shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the amount paid by the client for the services provided.
8. Termination
Either party may terminate the engagement with written notice. Clients are responsible for payment for services rendered up to the date of termination.
9. Changes to terms
We reserve the right to update these Terms and Conditions at any time. The latest version will always be available on our website.
10. Governing law
These Terms and Conditions are governed by the laws of New Zealand, and any disputes will be resolved in the appropriate courts of that jurisdiction.
